These Terms govern your use of UD MEM, an independent student meal-exchange marketplace. Read them before using the service or placing an order.
1. Our role and availability
UD MEM connects buyers with students who can place eligible restaurant orders using their own meal exchanges. UD MEM does not prepare, inspect, package, store, transport, or serve food. Buyers pick up directly from the restaurant. Restaurants and sellers are independent third parties, not employees or agents of UD MEM.
UD MEM is not affiliated with, endorsed by, or operated by the University of Delaware, its dining provider, or any restaurant. Restaurant names and marks identify the intended pickup provider and do not imply a partnership.
Stripe processes payments and seller payouts through the payment options offered at checkout. The website does not place or cancel restaurant orders in Grubhub.
2. Eligibility and permitted use
You must be at least 18 and legally able to enter a contract to transact through UD MEM. Use accurate information and only an email address and meal plan you are authorized to use. One account may be used for buying and selling; seller requirements apply when you choose to sell.
Do not impersonate anyone, share another student’s credentials, submit fraudulent orders, interfere with the site, scrape private information, or use the service unlawfully. Sellers must independently confirm that their meal plan and dining rules permit the proposed transaction. UD MEM does not grant permission to transfer or resell meal benefits. Do not proceed if a transaction is prohibited by university, meal-plan, or restaurant rules.
3. Meals, prices, and pickup
The buyer total shown at checkout is $6 for one eligible combo with the selected included options. Paid restaurant extras are excluded. Review the restaurant, meal, selections, pickup location, total, and rules before paying. Menus, images, ingredients, hours, and availability may change. Images are illustrative; menu descriptions are not guaranteed ingredient or nutrition statements.
A seller must place the accepted order accurately and share the restaurant order number. Sellers must upload a genuine confirmation for that order, verify its details before sharing an update, and provide a new screenshot when those details change. Do not falsify or reuse unrelated confirmations. Automated screenshot reading may make mistakes; sellers remain responsible for checking the submitted details. If fulfillment fails, use Unable to fulfill and provide an accurate reason. The website cannot cancel an order inside your dining app. A buyer must collect the correct meal promptly at the stated pickup location and confirm receipt only after receiving it. Matching and preparation times are estimates; neither a seller match nor an exact ready time is guaranteed. An unapproved substitution must not be treated as fulfillment.
Buyer responsibilities
Provide accurate selections and pickup information, pay only through the enabled checkout, and collect only your own order. Do not falsely confirm pickup, claim a refund for a meal you received as agreed, or share another person’s pickup code. Report incorrect or unsafe food promptly and keep relevant receipts or screenshots. Never pressure a seller to bypass dining rules or promise an allergy-safe meal.
Seller responsibilities and earnings
Before accepting, confirm that you have an unused, eligible meal exchange and that the transaction is permitted under your current dining agreement. Keep your meal-plan details accurate. You may have only one active sale at a time. Premium All Access and 125 Block sellers may accept up to two sales per day; other supported plans may accept one. Daily limits reset at midnight Eastern. Each accepted sale counts toward that day’s limit, including a canceled sale, because UD MEM cannot verify whether the dining provider restored the exchange. Exchanges you use outside UD MEM also reduce your actual availability; always confirm you still have one before accepting. Accept only if you can promptly place the exact requested meal and options; do not reuse an exchange, claim competing requests, share dining credentials, or invent order numbers or status updates.
Placing an order does not mean it is ready. The buyer’s pickup screen may advance when the seller’s estimated pickup time arrives. This is an estimate, not proof that the restaurant has finished the meal. Sellers must update changed pickup details promptly. Tell support promptly if you cannot fulfill an accepted request. Do not handle, transport, alter, or substitute food on the buyer’s behalf.
The seller’s displayed earnings are $4 for a completed sale. Accepting or placing an order alone does not earn a transfer. We initiate the $4 Stripe Connect transfer only after the buyer confirms pickup, linked to the buyer’s original payment. Bank payout is scheduled no earlier than five calendar days after that payment and only once the funds are available. Stripe processing, verification, account restrictions, weekends, and bank timing may delay arrival. Canceled or unfulfilled sales earn $0. Refunds, disputes, fraud, and legal requirements may affect payment eligibility.
If pickup remains unconfirmed one hour after its scheduled time, we send a reminder when the buyer has enabled status emails. After two hours, the order is marked Under review and flagged for support. Seller earnings remain unreleased until pickup is confirmed. Buyers should confirm only after collecting the correct meal, or promptly report a problem.
4. Matching, cancellation, and refunds
The matching window is one hour from successful payment. The exact deadline will appear with the confirmed order. Matching begins only after payment succeeds. This is a deadline to find a seller, not a promise that food will be ready within one hour.
- You may cancel for a full $6 refund before a seller accepts.
- Once a seller accepts, voluntary cancellation is unavailable because the restaurant order may already be underway.
- If no seller accepts before the one-hour deadline, the order is canceled and the full $6 is refunded.
- If a seller cancels before confirmation and time remains on the original matching deadline, we look for another seller without charging again. If that deadline has passed without a replacement, the order is canceled for a full $6 refund.
Refunds return to the original payment method. Your bank or payment provider determines when the credit appears. Report missing, incorrect, unsafe, or unfulfilled orders promptly to mem@varughese.org, with the order details. Do not consume food you believe is unsafe. The cancellation restriction does not eliminate remedies for nonperformance or rights you have under applicable law.
The in-app “Report a problem” shortcut is available during an active order and for 24 hours after completion or cancellation. Contact mem@varughese.org or (917) 734-0159 afterward. The shortcut’s disappearance does not waive a legal right, shorten a statutory claim period, or remove an otherwise applicable refund remedy. Refund status and timing are separate from order status.
5. Allergies and food safety
UD MEM cannot guarantee that any meal is allergen-free or safe for a particular allergy or dietary restriction. Kitchens may use shared equipment and preparation areas. Cross-contact can occur even when an ingredient is removed. Selecting “No Cheese,” for example, does not establish that a meal is free of milk allergens.
Contact the restaurant directly before ordering to verify current ingredients, preparation practices, and whether it can safely accommodate your needs. Do not rely on menu photos, descriptions, seller statements, or customization controls as an allergy assurance. If the restaurant cannot confirm safe accommodation, do not order that meal through UD MEM. Do not send medical histories through the site.
The restaurant controls preparation and food safety before pickup. After pickup, handle, store, and consume food safely. To the extent permitted by law, you acknowledge the ordinary risks of consuming food prepared by independent third parties, including undisclosed ingredients and cross-contact. This acknowledgment does not excuse misconduct or waive rights that cannot lawfully be waived. In a medical emergency, call 911.
6. Service disclaimers
To the extent permitted by law, UD MEM provides the site and matching service “as is” and “as available,” without express or implied warranties, including merchantability, fitness for a particular purpose, or noninfringement. We do not warrant uninterrupted service, error-free content, food quality, third-party conduct, or successful matching. These disclaimers do not change our express refund commitments or mandatory consumer rights.
7. Limits on liability
To the fullest extent permitted by applicable law, UD MEM and its operator are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or opportunities, arising from the service or independent third-party conduct. For other claims arising from the service, aggregate liability is limited to the greater of $100 or the amount you paid to UD MEM in the 12 months before the event giving rise to the claim.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, liability for death or personal injury that cannot legally be limited, or any other liability or remedy that applicable law does not allow us to exclude or limit. They do not limit the refunds expressly promised in these Terms. Some jurisdictions do not permit certain exclusions; in those jurisdictions the limitations apply only to the lawful extent.
8. Responsibility for misuse
To the extent permitted by law, you agree to reimburse UD MEM for reasonable losses, damages, and legal expenses resulting from a third-party claim caused by your fraud, unlawful conduct, infringement of another person’s rights, or material breach of these Terms, including misuse of meal-plan benefits, unauthorized account access, or knowingly false order or pickup reports. This applies to both buyers and sellers. This obligation does not cover losses caused by UD MEM’s own negligence or misconduct. We will give reasonable notice of a covered claim and an opportunity to participate in its defense; no settlement may impose an admission or nonmonetary obligation on you without your consent.
9. Access, changes, and disputes
We may suspend misuse, fraud, or unsafe activity and may change or discontinue features. Suspension does not remove an existing refund obligation. Content and branding belonging to UD MEM may not be copied or used misleadingly; third-party rights remain with their owners.
Delaware law governs these Terms, except where mandatory protections of another jurisdiction apply. Disputes may be brought in a court with jurisdiction in Delaware, subject to any venue or small-claims rights that cannot be waived. These Terms do not require arbitration or waive class-action rights.
Material changes will be identified on this page and, when appropriate, through a site notice. Changes apply prospectively, not to an already confirmed order. If a provision is unenforceable, the remaining provisions continue to apply. Contact UD MEM at mem@varughese.org with questions or disputes.
10. Email and text notifications
We send requested sign-in codes and, when enabled in Notifications, email updates about orders and sales through Bird. You may disable optional status emails in Notifications. You remain responsible for checking your order page for current information.
Phone-number entry and SMS alerts are not currently offered.
11. Account deletion
You may delete your account from the Support page after signing in and confirming the request. Deletion removes your sign-in email from the account, phone number, notification preferences, meal-plan profile, and saved payment-method links from UD MEM’s account database. All account sessions are revoked. A non-login reference remains to keep historical records linked correctly.
Order and sale history, payment and refund references, confirmation screenshots, relevant transaction contact details, support records, and administrative logs may remain available to authorized administrators for accounting, fraud prevention, disputes, and legal obligations. Deletion does not cancel an order, erase a debt, waive a refund, or close a separate Stripe or Grubhub account. Those providers retain information under their own policies.
Complete active orders and sales first. Pending checkouts, refunds, or seller bank payouts must be resolved before self-service deletion. If you cannot complete this process, contact support. Privacy requests remain available even when self-service deletion is blocked. Deletion cannot be undone. Creating a new account does not restore the deleted profile or its history and must not be used to evade restrictions or meal-plan limits.
